Terms of Service

Please read these terms carefully before using Event Sentinel. By accessing or using our Services, you agree to be bound by these terms.

Overview

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Event Sentinel, Inc. (“Event Sentinel,” “we,” “us,” or “our”), governing your access to and use of the Event Sentinel platform, website at eventsentinel.ai, APIs, agents, mobile applications, and all related services (collectively, the “Services”).

By creating an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Summary: These Terms govern how you use Event Sentinel. You own your data. We provide the monitoring platform. Both parties have responsibilities outlined below.

Definitions

TermDefinition
AgentThe Event Sentinel software installed on Customer devices to collect telemetry and monitoring data.
Customer DataAll data, including telemetry, configurations, and files, that you submit to or generate through the Services.
ServicesThe Event Sentinel platform, APIs, dashboard, agents, mobile applications, and all related tools and features.
SubscriptionThe plan you have purchased or enrolled in, which determines the features, limits, and pricing applicable to your use.
UsersIndividuals authorized by Customer to access and use the Services under Customer's account.
SLAService Level Agreement — the uptime and performance commitments applicable to your Subscription tier.

Account Terms

To use the Services, you must:

  • Be at least 16 years of age (or the age of majority in your jurisdiction).
  • Provide accurate, complete, and current registration information.
  • Maintain the security of your account credentials and immediately notify us of any unauthorized access.
  • Be responsible for all activity that occurs under your account, whether or not authorized by you.
  • Not share account credentials or allow multiple individuals to use a single-user account.

We reserve the right to suspend or terminate accounts that violate these requirements or that remain inactive for more than 12 consecutive months on the Free plan.

Acceptable Use Policy

You agree to use the Services only for lawful purposes and in compliance with these Terms. You shall not:

  • Use the Services to monitor devices or networks you do not own or have explicit authorization to monitor.
  • Attempt to gain unauthorized access to the Services, other accounts, or Event Sentinel's infrastructure.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services or Agent.
  • Use the Services to develop a competing product or service.
  • Transmit malware, viruses, or any harmful code through the Services.
  • Exceed rate limits or intentionally overload the Services through automated or manual means.
  • Resell, sublicense, or redistribute the Services without prior written consent.
  • Use the Services in any manner that violates applicable laws or regulations.

Enforcement: Violation of this policy may result in immediate suspension or termination of your account without prior notice. We may also report violations to law enforcement authorities.

Service Levels

Event Sentinel commits to the following service level targets based on your Subscription tier:

If we fail to meet the uptime SLA for Pro or Enterprise plans, you are entitled to service credits. Credits are calculated as a percentage of the monthly fee proportional to the downtime exceeding the SLA, up to a maximum of 30% of that month's fees. Claims must be submitted within 30 days of the incident.

Payment & Billing

Subscriptions & Pricing

  • Paid Subscriptions are billed in advance on a monthly or annual basis depending on your selection at time of purchase.
  • All fees are quoted in US Dollars (USD) and are exclusive of applicable taxes.
  • Annual Subscriptions receive a discount as displayed on our pricing page.

Payment Methods

We accept major credit cards (Visa, Mastercard, American Express) and ACH/wire transfers for Enterprise plans. All payments are processed securely by Stripe. Event Sentinel does not store your full payment card details.

Renewals & Cancellations

  • Subscriptions automatically renew at the end of each billing period unless cancelled prior to renewal.
  • You may cancel your Subscription at any time from Settings > Billing. Cancellation takes effect at the end of the current billing period.
  • No refunds are provided for partial billing periods, except where required by law.
  • We may change pricing with at least 30 days' notice. Price changes take effect at the next renewal.

Overdue Payments

If payment fails, we will attempt to charge the payment method on file up to three times over 10 days. If all attempts fail, your account may be downgraded to the Free plan. Enterprise customers with invoice-based billing have 30 days net payment terms. Overdue invoices may accrue interest at 1.5% per month.

Intellectual Property

Event Sentinel and its licensors own all rights, title, and interest in and to the Services, including all software, algorithms, ML models, user interfaces, designs, trademarks, and documentation (collectively, “Event Sentinel IP”). These Terms do not grant you any right to use Event Sentinel's trademarks, logos, or brand assets without prior written consent.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and install the Agent on devices you own or are authorized to manage, solely for your internal business or personal monitoring purposes.

You may provide feedback, suggestions, or ideas about the Services (“Feedback”). You agree that Event Sentinel may freely use, modify, and incorporate Feedback without obligation or compensation to you.

Data Ownership

Your data is yours. Event Sentinel does not claim ownership of any Customer Data. You retain all rights to your data.

  • License to us: You grant Event Sentinel a limited license to access, process, and store Customer Data solely for the purpose of providing, maintaining, and improving the Services.
  • Aggregated data: We may create anonymized, aggregated data derived from Customer Data for statistical analysis, benchmarking, and improving our ML models. Aggregated data cannot be used to identify you or your devices.
  • Data export: You may export your Customer Data at any time via the dashboard or API. Upon account termination, we will make your data available for export for 30 days.
  • Data deletion: Upon request or account deletion, we will permanently delete your Customer Data within 30 days, except where retention is required by law.

Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party (“Confidential Information”), including but not limited to:

  • Business strategies, roadmaps, and financial information.
  • Technical information, software, APIs, and security configurations.
  • Customer Data and usage patterns.
  • Terms of any Enterprise or custom agreements.

Confidential Information does not include information that is publicly available, independently developed, rightfully received from a third party, or required to be disclosed by law. Confidentiality obligations survive for 3 years after termination of these Terms.

Warranties & Disclaimers

Event Sentinel warrants that the Services will perform materially in accordance with the applicable documentation during the Subscription term. If the Services fail to meet this warranty, your sole remedy is for Event Sentinel to use commercially reasonable efforts to correct the non-conformity.

Disclaimer

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EVENT SENTINEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. EVENT SENTINEL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

AI-POWERED PREDICTIONS AND RECOMMENDATIONS ARE PROVIDED ON A BEST-EFFORT BASIS. EVENT SENTINEL DOES NOT GUARANTEE THE ACCURACY OF PREDICTIVE MODELS AND SHALL NOT BE LIABLE FOR HARDWARE FAILURES THAT OCCUR DESPITE OR CONTRARY TO PREDICTIONS.

Limitation of Liability

Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EVENT SENTINEL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO EVENT SENTINEL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL EVENT SENTINEL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if Event Sentinel has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not fully apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Event Sentinel, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your violation of these Terms.
  • Your use of the Services.
  • Your violation of any rights of a third party, including intellectual property rights.
  • Customer Data or any content you submit through the Services.

Event Sentinel will indemnify you against claims that the Services infringe a third party's intellectual property rights, provided you promptly notify us and cooperate in the defense.

Termination

By You

You may terminate your account at any time by navigating to Settings > Account > Delete Account. Cancellation of a paid Subscription takes effect at the end of the current billing period.

By Event Sentinel

We may terminate or suspend your account if:

  • You materially breach these Terms and fail to cure within 15 days of notice.
  • You violate the Acceptable Use Policy.
  • Your account has unpaid fees overdue by more than 30 days.
  • Required by law or regulation.

Effect of Termination

  • Your right to access the Services ceases immediately (or at end of billing period for voluntary cancellations).
  • Customer Data will remain available for export for 30 days after termination, after which it will be permanently deleted.
  • Sections that by their nature should survive termination (including Confidentiality, Limitation of Liability, Indemnification, and Governing Law) shall survive.

Changes to These Terms

We may update these Terms from time to time. When we make material changes:

  • We will update the “Last updated” date at the top of this page.
  • We will notify you via email at least 30 days before material changes take effect.
  • We will display a notice on the dashboard upon your next login.
  • Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
  • If you do not agree to the changes, you may terminate your account before the effective date.

Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

Dispute Resolution

  • Informal resolution: Before initiating formal proceedings, both parties agree to attempt to resolve disputes informally for at least 30 days through good-faith negotiations.
  • Arbitration: Disputes that cannot be resolved informally shall be settled by binding arbitration under the rules of the American Arbitration Association (AAA). Arbitration shall take place in San Francisco, California.
  • Class action waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.
  • Exceptions: Either party may seek injunctive relief in any court of competent jurisdiction for intellectual property infringement or unauthorized access to the Services.
