Terms of Service

These Terms of Service ("Terms," "Agreement") govern your access to and use of the website, web portal, and monitoring services operated by Event Sentinel AI, Inc. ("Event Sentinel," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 16 years of age to use the Services. By registering, you represent that you have the legal capacity to enter into this Agreement and that all information provided is accurate and complete.

2. Account Registration

  • You must provide a valid email address and create a password.
  • You are responsible for maintaining the security of your account credentials.
  • You agree to notify us immediately of any unauthorized use of your account.
  • One organization may have multiple team members under a single subscription, managed by an account administrator.
  • You are responsible for all activity under your account.

3. Subscriptions and Billing

  • Plans: We offer subscription plans with varying features and machine limits. Current pricing is displayed on our pricing page.
  • Payment: Subscriptions are billed in advance via Stripe. You authorize recurring charges to your payment method.
  • Billing Cycle: Subscriptions renew automatically at the end of each billing period unless cancelled.
  • Cancellation: You may cancel at any time via the billing portal. Cancellation takes effect at the end of the current billing period. No refunds for partial periods, unless required by law.
  • Price Changes: We may change pricing with at least 30 days' notice. Existing subscribers retain current pricing until the next renewal after the notice period.
  • Taxes: You are responsible for any applicable taxes unless otherwise stated.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any law.
  • Upload malware, viruses, or harmful code to the Services.
  • Attempt to gain unauthorized access to any part of the Services or its systems.
  • Interfere with or disrupt the Services, servers, or networks.
  • Reverse engineer, decompile, or disassemble any part of the Services.
  • Use the Services to monitor devices without proper authorization.
  • Resell or sublicense the Services without our written consent.

5. Your Data and Monitoring

  • You are solely responsible for the devices and data you connect to the Services.
  • You must have proper authorization to monitor any devices you connect.
  • We process monitoring data as described in our Privacy Policy.
  • You may export or delete your monitoring data subject to your plan and applicable law.

6. Intellectual Property

The Services, including software, design, logos, and content, are owned by Event Sentinel and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription. You retain all rights to your monitoring data.

7. AI-Powered Recommendations

The Services include AI-generated recommendations and predictions. These are provided for informational purposes only and do not constitute professional advice. You are responsible for decisions made based on such recommendations. We do not guarantee the accuracy or completeness of AI-generated outputs.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Services or features at any time. We are not liable for downtime due to maintenance, updates, or events beyond our control.

9. Disclaimers

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be error-free, secure, or available at all times.

10. Limitation of Liability

To the maximum extent permitted by law, Event Sentinel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business, arising from your use of the Services. Our total liability for any claim shall not exceed the amount you paid in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Event Sentinel and its affiliates from any claims, damages, losses, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

12. Termination

You may terminate your account at any time via the billing portal. We may suspend or terminate your access for violation of these Terms or for any reason with notice. Upon termination, your right to use the Services ceases. Sections that by nature should survive termination shall remain in effect.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in Delaware, except where prohibited by law (e.g., EU consumer rights). EU consumers retain the right to bring proceedings in their country of residence under mandatory EU consumer protection law.

14. Changes to These Terms

We may modify these Terms at any time. Material changes will be notified via email or in-app notification. Continued use after the effective date constitutes acceptance of the updated Terms.
